SaaS Services Agreement

Services: CloudNova CRM Suite – A cloud-based customer relationship management platform with sales pipeline tracking, customer interaction history, and integrated analytics dashboard.

Service Fees: $2,500 per month, payable in advance.

Initial Service Term: 12 months

Implementation Services: Provider will use commercially reasonable efforts to deliver the services described in the Statement of Work attached as Exhibit A hereto (“Implementation Services”), and Customer shall pay Provider the Implementation Fee in accordance with the terms herein.

Project Deadline: June 30, 2025

Terms and Conditions

This SaaS Services Agreement (“Agreement”) is entered into on 15th day of May, 2025 (the “Effective Date”) between CloudNova Inc., with a place of business at 123 Tech Lane, San Francisco, CA 94107 (“Provider”), and Acme Retail Solutions LLC (“Customer”). This Agreement includes and incorporates the following Order Details, as well as the Terms and Conditions, and contains, among other things, warranty disclaimers, liability limitations, and use limitations. There shall be no force or effect to any different terms of any related purchase order or similar form even if signed by the parties after the date hereof.
